Terms of Service

Important Notice

1. Acceptance of These Terms
Welcome to OCHA. These Terms of Service (the “Terms”) are a binding agreement between you and OCHA (“OCHA,” “we,” “us,” or “our”). By creating an account, accessing, or using OCHA (the “Service”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who Can Use OCHA
You must be at least 13 years old (or 16 years old if you live in the European Economic Area, the United Kingdom, or another jurisdiction where that is the minimum age) to create an account. If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
You also represent that you are not barred from using the Service under the laws of the jurisdiction where you live or from which you access OCHA, and that using OCHA will not violate any policy of your school or institution.
3. Your Account
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to:
- Provide accurate and current information when registering;
- Maintain the security of your password and any connected OAuth accounts;
- Notify us promptly if you believe your account has been compromised;
- Use only one account per person, unless we expressly permit otherwise in writing.
4. The Service
OCHA is a zen student productivity platform. It helps you aggregate assignments from services such as Google Classroom, Google Drive, Schoology, and Google Calendar; extract deadlines and requirements from documents you upload; schedule study blocks; and chat with an AI assistant about your workload.
We may add, change, or remove features at any time. We may also impose limits on usage (for example, AI chat credits per month) and may change those limits with reasonable notice.
5. Your Content
“User Content” means anything you submit to OCHA, including tasks, notes, documents, files, images, AI chat messages, and any information we import from services you connect.
You own your User Content. These Terms do not transfer ownership of your User Content to OCHA.
To operate the Service for you, you grant OCHA a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, process, and create derivative works of your User Content solely for the purpose of providing, securing, debugging, and improving the Service. This license ends when you delete your User Content or your account, except for copies retained in routine backups or where we are required by law to retain them.
We will not use your User Content for third-party advertising, sell it, or publicly disclose it, except as described in our Privacy Policy.
You represent and warrant that:
- You own or have the necessary rights to submit your User Content to OCHA;
- Your User Content does not infringe any copyright, trademark, privacy right, or other right of any third party;
- Your User Content does not violate any law, school policy, or these Terms.
6. User Content Accountability
OCHA does not pre-screen User Content. You are solely responsible for the content, legality, accuracy, and appropriateness of everything you upload, type, or send through the Service. This includes:
- Third-party materials: syllabi, handouts, textbooks, and other documents you did not create. You must have the right to upload them. If your school or teacher restricts redistribution of a document, do not upload it to OCHA.
- AI chat content: you are responsible for what you tell the AI assistant. Do not paste other people’s private information, confidential materials, or content you are not permitted to share.
- Academic integrity: many schools have strict rules about using AI tools for coursework. It is your responsibility to know and follow your school’s academic integrity policy. Using OCHA to generate work you then submit as your own may violate that policy. OCHA is not responsible for the academic or disciplinary consequences of your use of the Service.
- Sensitive information: do not upload personally identifying information about classmates, teachers, or other third parties without their consent.
You agree to indemnify OCHA for any claim arising from your User Content, as set out in Section 13.
7. AI Output Disclaimer
The AI assistant in OCHA can make mistakes. It may hallucinate due dates, misinterpret a syllabus, suggest an unrealistic schedule, or provide information that is out of date or wrong. You should:
- Verify important information (especially deadlines and grade weighting) directly with your teacher or your school’s official system;
- Not treat AI output as legal, medical, financial, psychological, or academic advice;
- Use your own judgment before relying on the assistant’s recommendations.
OCHA is not liable for any consequences — academic, personal, or otherwise — that result from you relying on AI-generated content without verification.
8. Acceptable Use
You agree that you will not, and will not permit any other person to:
- Use OCHA for any unlawful, deceptive, or harmful purpose;
- Upload or transmit content that is illegal, defamatory, obscene, harassing, or infringes anyone’s rights;
- Attempt to reverse-engineer, decompile, disassemble, or derive the source code of OCHA, except to the extent applicable law expressly permits;
- Scrape, crawl, or otherwise use automated means to extract data from OCHA beyond what the product normally exposes;
- Attempt to access another user’s account or data, or circumvent any authentication or access controls;
- Probe, scan, or test the vulnerability of OCHA’s systems without our written permission;
- Interfere with or disrupt the Service, its servers, or any connected network;
- Use OCHA to send spam, phishing attempts, malware, or other malicious content;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Attempt to bypass any rate limits, credit limits, or usage quotas we impose;
- Use OCHA in a way that violates your school’s academic integrity policy or code of conduct;
- Use OCHA to train or benchmark a competing AI product.
9. Third-Party Services and Integrations
OCHA integrates with third-party services including Google (Classroom, Drive, Calendar), Schoology, Stripe, OpenAI, Zhipu AI, Supabase, PostHog, Sentry, Vercel, and Trigger.dev. Your use of those services is also subject to their respective terms and privacy policies, which we do not control. If a third-party service is unavailable or changes, OCHA features that depend on it may stop working without notice.
When you connect a third-party account to OCHA, you authorize us to access and use data from that service as described in our Privacy Policy. You can disconnect at any time from within OCHA or, for Google, from your Google account permissions page.
10. Paid Plans and Billing
OCHA offers a free plan with a monthly AI chat credit allowance and a Pro plan priced at US$25 per month, which includes 250 AI chat credits per month and additional features. Paid plans may not be available in all regions at launch.
- Billing: we use Stripe to process payments. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel.
- Renewal: paid plans renew automatically at the end of each billing period.
- Cancellation: you can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not provide refunds for partial months, except where required by law.
- Price changes: we may change prices or credit allowances. We will give you at least 14 days’ notice before a change that affects you.
- Taxes: fees are exclusive of taxes. You are responsible for any applicable taxes on your subscription.
- Unused credits: AI chat credits reset each billing cycle and do not roll over.
11. Intellectual Property
OCHA and all related software, designs, logos, trademarks, and content we create are owned by us or our licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our name, logo, or trademarks without our prior written permission.
You may provide feedback, suggestions, or ideas about OCHA. You grant us a perpetual, irrevocable, royalty-free license to use that feedback without obligation.
12. Termination
You may stop using OCHA and delete your account at any time. We may suspend or terminate your access to OCHA, with or without notice, if:
- You materially breach these Terms;
- We reasonably believe your use of OCHA creates legal exposure for us or for other users;
- We discontinue the Service or a feature of it;
- We are required to do so by law.
When your account is terminated, your right to use OCHA ends immediately. Sections of these Terms that by their nature should survive termination (including User Content licenses granted before termination to the extent needed to complete processing, disclaimers, indemnification, limitation of liability, and governing law) will survive.
13. Indemnification
You agree to defend, indemnify, and hold harmless OCHA and its owners, employees, and contractors from and against any claim, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of any law or any right of a third party; or (e) your violation of your school or institution’s policies.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCHA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
OCHA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; THAT AI OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE; OR THAT ASSIGNMENTS AND DEADLINES WILL BE IMPORTED CORRECTLY FROM THIRD-PARTY SERVICES.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OCHA OR ITS OWNERS, EMPLOYEES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, ACADEMIC STANDING, OR OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, some of the exclusions and limitations above may not apply to you, and our liability will be limited to the fullest extent permitted by applicable law.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.
You and OCHA agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you and OCHA consent to the personal jurisdiction of those courts. This does not limit any non-waivable right you may have to bring a claim in the courts of your country of residence under applicable consumer-protection law.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at harryjiang14@crescentschool.org. We will try to resolve the dispute with you in good faith for at least 30 days before any formal proceeding is filed.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and notify you by email or through an in-app notice before the changes take effect. Your continued use of OCHA after the effective date constitutes acceptance of the updated Terms. If you do not agree, stop using OCHA and delete your account.
18. Miscellaneous
- Entire agreement: these Terms and our Privacy Policy are the entire agreement between you and OCHA regarding the Service and replace any prior agreements.
- Severability: if any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
- No waiver: our failure to enforce any provision of these Terms is not a waiver of that provision.
- Assignment: you may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No agency: these Terms do not create any agency, partnership, joint venture, or employment relationship.
